cdi problem

I bought my Honda Shadow 400 cc. bike about 4 and a half years ago. Great bike, love riding. I changed a few things on it over the years, as you do when you buy used. The most recent problem, I´ve been told by a local bike mechanic, is the cdi unit. The bike just seems gutless and acceleration is poor. Also, when I get into higher rpms, no matter what gear I´m in, it starts to choke a little, like it´s flooding or something. I took it for a good ride yesterday and even on a decent downhill I couldn´t get her past 110kms/hr. The mechanic told me a replacement cdi unit would cost me 500 bucks, and he told me that my bike isn´t worth it! I was gutted. The bike looks great, handles great, has 49,000kms on it. Is his prognosis correct? I mean, should I sell it now while I still can get something for it? Man, I´m totally bummed out.
